Ιoannis Charalampopoulos is Partner and Head of the Corporate and M&A practice of Machas & Partners Law Firm.
Ioannis specializes in Corporate law and advises clients in a wide range of transactions across various sectors and industries including technology, innovation & AI, financial services, real estate and infrastructure, hospitality and energy. His transactional expertise includes sophisticated corporate and financing transactions with a particular focus on complex cross-border merger and acquisitions, restructurings and divestments, public tender offers as well as project development and project finance transactions in the sector of renewable energy.
With significant experience in the negotiation of investment agreements, bespoke shareholders agreements and other commercial agreements, as well as in designing efficient corporate structures and investment schemes for the upstream flow of revenue to investors, Ioannis advises on strategic entry and exit planning of domestic and foreign direct investments. With a strong interest in tech and innovation, Ioannis provides comprehensive legal support on the establishment of venture capital funds and alternative investment funds as well as in the licensing of financial institutions and other financial intermediaries and alternative finance providers.

Ioannis represented the Hellenic Republic Asset Development Fund (HRADF) in its capacity as seller in the drafting of the Partition and Surface Rights Establishment Deed, the Conveyance Deed, the State Direct Agreement, the Deferred Payment Bond for an amount of up to EUR 349,191,349, as well as the Share Transfer Agreement for the sale and transfer of the entire share capital of Hellinikon S.A. at an aggregate purchase price of EUR 915 million
Ioannis leaded the merger of Intercontinental International REIC (ICI) into BriQ Properties REIC, being the first merger of listed REICs via a multi phase transaction leading to a combined real estate investment portfolio of a gross asset value exceeding EUR 280 million.
