He is a recognized lawyer in Nicaragua who has advised recognized multinationals on major transactions in a variety of industrial sectors, primarily in the financial sector, telecommunications, infrastructure, distribution, trade, services and real estate. Moreover, he has participated in the review process to present amendments and motions of laws, decrees and draft laws before the National Assembly of Nicaragua.

Clients value Carlos practice for his competent handling of fiduciary and complex offshore structuring issues, demonstrating a deep analysis of local jurisdiction and extensive knowledge of the domestic market.

Work Highlights

- Counseled a Central American beverages company in relation to the merger of two of its wholly owned companies in Nicaragua.

- Counseled in the incorporation and registration of the first Management Company of Investment Funds in Nicaragua. The authorization granted by the Superintendence of Banks and other Financial Institutions (SIBOIF) marks a historic milestone in Nicaraguan financial system as Invercasa’s SAFI is the first Management Company of Investment Funds approved to operate in Nicaragua.

- Counseled in the establishment of a USD 8 million trust fund to hold and manage prime real estate property which will be developed in the coming years.

- Counseled to the client in the process of implementing a solar energy project to provide between 60% and 70% of the electricity needs of their production plant in Nicaragua. The project is one of only three solar energy projects in the nation.

- Counseled Grupo IDC in their USD 2 million acquisition of an office and warehouse building in Managua for a leaseback operation.

- Counseled several multinational companies to document and formalize their relationships with long-standing Nicaraguan distributors, in order to preserve the commercial terms and agreements which have developed in practice, and to avoid potential risks by way of distributors’ claims against our clients’ interests.

- Counseled to the buyer, a Guatemalan real estate developer, in their purchase of real property for the development of premium residential projects in Managua.

- Counseled the stock brokerage house Invercasa in structuring the first issuance of “Preferred Stocks” of the issuing entity Corporación Agrícola, S.A. (AGRICORP) for USD 10 million.

- Counseled and represented Empresa Industrial Arrocera Altamira, S.A. (IAASA) in a USD 13 million dollar sale of assets, being the sellers from Costa Rica and the buyers from Nicaragua.

- Counseled Baker Hughes in obtaining a license for the import and use of radioactives before the Ministry of Health (MINS-A, for its acronym in Spanish) and a license for the import and use of explosives before the General Directorate of Arms, Ammunitions and Explosives (DAEM, for its acronym in Spanish) as well as other permits related to the import of explosives, for its subsidiary in Nicaragua BJ Services de Nicaragua, S.C.R.L.

- Counseled and represented Intelsat, Satmex y Eutelsat in the process of inclusion of new satellites, replacement and relocation service network for landing satellite signal in Nicaragua.

- Advice on the acquisition of Hotel Camino Real in Nicaragua; in which the firm acted as counsel to the sellers and carried out the successful sale of the hotel to a Spanish group.
